Terms of Service

These Terms of Service ("Terms") are a binding agreement between Focal ADAS ("Focal ADAS," "we," "us") and the business or person using its websites or services ("you"). By using focaladas.com or hq.focaladas.com (the "Sites"), submitting a request, opening an account, or purchasing services, you agree to these Terms. If you use the services for a business, you represent you are authorized to bind that business.

1. Services

Focal ADAS provides mobile ADAS calibration and related diagnostic services to collision repair businesses, performed on-site at your location following applicable OEM service information and using professional calibration equipment. Services are provided for business purposes and are not consumer services.

2. Quotes, scheduling, and site conditions

Quotes are estimates based on the information you provide and may be revised after vehicle inspection or when OEM procedures require additional operations. Scheduling is subject to availability. You are responsible for providing a safe, adequate workspace (level surface, lighting, space, and power where needed) and a vehicle in calibratable condition (structurally repaired, correct alignment where required, sensors installed and undamaged, battery adequate). Focal ADAS may pause or decline work where conditions, vehicle damage, or missing prerequisites prevent a proper calibration; trip or diagnostic charges may apply as quoted.

3. Your responsibilities

You represent that you are authorized to request work on each vehicle; that repairs prerequisite to calibration were properly completed; and that information you provide (including VIN and claim details) is accurate. You are responsible for post-service inspection and road testing appropriate to the repair, and for returning the vehicle to its owner in accordance with your own obligations.

4. Accounts

Keep credentials confidential; you are responsible for activity under your account. Notify Focal ADAS promptly of unauthorized use. Focal ADAS may suspend accounts for misuse, non-payment, or security risk.

5. Payment

Fees are due per the invoice terms. Late amounts may accrue a late charge of 1.5% per month (or the maximum allowed by law, if less), plus reasonable collection costs and attorney fees. Focal ADAS may suspend service on past-due accounts. Taxes are your responsibility where applicable.

6. Documentation

Focal ADAS provides calibration documentation (scan reports, calibration records) for the work it performs. You are responsible for how documentation is used in estimates, claims, or submissions to third parties.

7. Warranty

Focal ADAS warrants that services will be performed in a professional and workmanlike manner consistent with applicable OEM procedures. Your exclusive remedy, and Focal ADAS's entire liability, for breach of this warranty is re-performance of the affected calibration; if Focal ADAS cannot re-perform, a refund of the amount paid for that calibration. EXCEPT AS EXPRESSLY STATED, THE SERVICES AND SITES ARE PROVIDED "AS IS," AND FOCAL ADAS DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Proper ADAS operation depends on factors outside Focal ADAS's control, including prior repairs, part quality, alignment, sensor condition, software state, and post-service events; Focal ADAS is not responsible for conditions it did not create.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY; AND (b) FOCAL ADAS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR SITES IS LIMITED TO THE AMOUNTS YOU PAID FOCAL ADAS FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS BEFORE THE EVENT. These limits apply regardless of the theory of liability and survive failure of essential purpose. Nothing in these Terms limits liability that cannot be limited by law.

9. Indemnification

You will defend, indemnify, and hold harmless Focal ADAS and its owner, employees, and contractors from claims, damages, and expenses (including reasonable attorney fees) arising from: your breach of these Terms; inaccurate information you provided; repairs, parts, or work performed by you or third parties; your use of documentation in claims or submissions; or your violation of law.

10. Dispute resolution; governing law

These Terms are governed by the laws of the State of Washington, without regard to conflicts of law. The parties will first attempt in good faith to resolve any dispute informally within 30 days of written notice. [CHOOSE ONE: (A) Any unresolved dispute shall be resolved by binding arbitration in Pierce County, Washington, administered by a mutually agreed arbitrator under the AAA Commercial Rules, on an individual basis only; CLASS ACTIONS AND JURY TRIALS ARE WAIVED to the extent permitted by law. / (B) Exclusive jurisdiction and venue lie in the state and federal courts located in Pierce County, Washington, and each party consents to them.] Either party may seek small-claims relief or injunctive relief for misuse of the Sites or intellectual property.

11. General

Force majeure: neither party is liable for delay or failure caused by events beyond reasonable control. Assignment: you may not assign these Terms without Focal ADAS's written consent; Focal ADAS may assign to a successor. Severability: if a provision is unenforceable, the rest remains in effect. No waiver: failure to enforce is not a waiver. Entire agreement: these Terms plus any signed quote or statement of work are the entire agreement and supersede prior discussions; if a signed agreement conflicts, it controls. Changes: Focal ADAS may update these Terms; the effective date reflects the latest version, and continued use after posting means acceptance.
